1. Agreement to Terms

These Terms of Service (“Terms”) are a legally binding agreement between you and Statsyuk Analytics Inc. (“Statsyuk,” “we,” “us,” or “our”) governing your access to and use of the Statsyuk platform (the “Service”) — a web application that processes hockey game and practice footage through computer vision to produce player tracking data and analytics.

By creating an account or using the Service, you agree to these Terms. If you are accepting on behalf of an organization (such as a hockey team, club, or league), you represent that you have authority to bind that organization.

If you do not agree to these Terms, do not use the Service.

2. Account Creation and Responsibilities

2.1 Eligibility

The Service is currently available by invitation only. You must have received a valid invitation from Statsyuk to register. You must be at least 18 years old and have the legal capacity to enter into a binding agreement. This applies to the person holding the account — a coach, manager, or team administrator. It is separate from the consent rules that apply to the players whose data we process, which are set out in our Privacy Policy.

2.2 Account Registration

You may register using a Google account or an email address and password. You agree to:

  • Provide accurate, current, and complete information during registration
  • Keep your account credentials confidential
  • Notify us immediately at noah@statsyuk.ca if you suspect unauthorized access to your account
  • Complete the onboarding process, including associating your account with your league, division, team, and role

2.3 Account Responsibilities

You are responsible for all activity that occurs under your account. Do not share your login credentials with others. Statsyuk is not liable for any loss resulting from unauthorized use of your account that occurs without our fault.

2.4 Organizational Access

Your account is scoped to a specific team within a league and division. You may only access data associated with your authorized team. Attempting to access data belonging to another team or organization is a material breach of these Terms.

3. The Service

3.1 Core Functionality

Statsyuk processes uploaded game and practice footage — recorded from a single camera with a suitable overhead or broadcast-style vantage point — through a computer vision and machine learning pipeline. The Service delivers:

  • Automated player detection, tracking, and identification
  • Per-player ice time and positional data
  • Rink-overlay visualizations, heatmaps, and shift charts
  • Game-level aggregate statistics

3.2 Invitation-Only Access

Access is currently restricted to invited teams. We reserve the right to accept, decline, or revoke invitations at our sole discretion. Public demo features (accessible without authentication) are provided as-is for evaluation purposes only and are subject to these Terms.

3.3 Service Modifications

We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time. We will make reasonable efforts to notify active users of material changes.

4. User-Provided Content

4.1 Video Content

You may upload game and practice footage to the Service for processing. By uploading video, you represent and warrant that:

  • You own the video or have obtained all necessary rights, licenses, and permissions to upload and process it
  • The video does not violate any third-party intellectual property rights
  • You have the authority to make the video available for processing under these Terms
  • You are authorized to record in the venue where the footage was captured, under that venue's and the applicable league's policies
  • Where the video contains images of minors, you have appropriate authorization consistent with applicable law and your organization's policies

4.2 Roster and Player Data

You may enter player roster information including names, jersey numbers, positions, and status. You represent that you are authorized by your organization to enter this information and that you comply with applicable privacy laws, particularly with respect to minor athletes.

4.3 Your Ownership

You retain all ownership rights in the video footage and roster data you provide. These Terms do not transfer ownership of your content to Statsyuk.

4.4 License to Statsyuk

By uploading content to the Service, you grant Statsyuk a limited, non-exclusive, worldwide, royalty-free license to store, process, and analyze that content in order to provide the Service to you and to develop, evaluate, and improve the models on which it operates. This includes retaining still images sampled from your footage, including frames and player crops that may identify individuals, held separately from your game report. This license does not permit us to publish or broadcast your footage, and we do not disclose your content to third parties except as described in our Privacy Policy.

4.5 Ownership of Derived Analytics

All tracking data, positional data, player movement data, statistical outputs, heatmaps, shift data, and any other analytics generated by processing your content through the Statsyuk pipeline (collectively, “Analytics”) are and remain the exclusive intellectual property of Statsyuk. This includes Analytics that display results associated with individual player names and jersey numbers. Analytics are produced by Statsyuk’s proprietary computer vision and machine learning systems, which constitute Statsyuk’s core technology and trade secrets.

You acknowledge that:

  • Analytics are a distinct work product created by Statsyuk's proprietary technology, not a reproduction or derivative of your video
  • Statsyuk's IP ownership of Analytics is independent of, and not diminished by, your ownership of the underlying footage
  • Statsyuk retains full ownership of all Analytics in perpetuity, including after account termination
  • The display of player names and jersey numbers within Analytics constitutes service delivery under your license — it does not confer any ownership interest in the Analytics to you, to your players, or to any third party

Your license to Analytics:During the period your account is active, Statsyuk grants you a limited, non-exclusive, non-transferable, non-sublicensable license to access and view your team’s Analytics — including player-identified outputs — solely for your internal coaching, development, and team operations purposes. This license does not include any right to publish, distribute, sublicense, sell, or commercially exploit the Analytics in any form.

Data export:You may export your team’s Analytics at any time while your account is active. On termination, your export window is set out in Section 7.3. The internal-use licence granted above survives termination with respect to Analytics you exported before your access ended, so that exported material remains usable for your own internal coaching, development, and team operations. It survives for no other purpose, and exported Analytics remain subject to all restrictions in Section 4.6.

Statsyuk’s retained rights: When your relationship with Statsyuk ends, we delete your video and drop the map linking players to their analytics records. What we keep is anonymized performance data: movement and event data carrying no player name, jersey number, or team, grouped under a random per-game token, with no game date or venue stored. We may retain and use that anonymized data indefinitely for product development, benchmarking, research, and improving our analytics models. We do not attempt to re-identify any individual from it, and we do not permit others to.

Individual privacy rights:Applicable privacy law independently gives individual players certain rights over personal data associated with them (including the right to request de-identification of their name and jersey number from Analytics records). These rights exist under privacy law and are separate from the IP ownership framework above. Honouring such a request affects only the personal data layer — it does not affect Statsyuk’s ownership of or rights to the underlying Analytics.

4.6 Restrictions on Analytics

Your license to Analytics under Section 4.5 is strictly limited. You may not, without Statsyuk’s prior written consent:

  • Publish or distribute Analytics in any form or medium, including social media, websites, publications, broadcasts, or press releases
  • Share Analytics with any third party, including other teams, leagues, player agents, scouts, media organizations, or governing bodies
  • Sell or license Analytics, or incorporate them into any commercial product or service
  • Use Analytics for any purpose outside your own team’s internal operations
  • Aggregate or combine Analytics with data from other sources to create derivative datasets
  • Reverse engineer the methodology, structure, or algorithms underlying the Analytics from the outputs provided
  • Retain or store exported Analytics beyond the purposes covered by your internal-use license

Any breach of this section is a material breach of these Terms and may result in immediate termination and legal action. Statsyuk expressly reserves all rights to seek injunctive relief, specific performance, and damages for unauthorized use or distribution of Analytics, without the requirement to post bond or prove actual damages.

5. Prohibited Conduct

You agree not to use the Service to:

  • Unauthorized access: Attempt to access accounts, systems, or data you are not authorized to access
  • Circumvent security: Bypass, disable, or interfere with any security feature or authentication mechanism
  • Reverse engineer: Decompile, disassemble, or reverse-engineer any component of the Service or its outputs
  • Automated scraping: Use bots or automated tools to extract data from the Service at a scale beyond normal use
  • Overload systems: Engage in actions that disproportionately burden our infrastructure
  • Upload malicious content: Upload files containing malware, viruses, or harmful code
  • Upload illegal content: Upload content that violates applicable law, including content that exploits minors
  • Misrepresent identity: Impersonate another person, team, or organization
  • Commercial resale: Resell, sublicense, or redistribute access to the Service without our written consent
  • Violate privacy: Enter or upload personal data for which you lack proper authorization

Violations may result in immediate account suspension or termination.

6. Access and Pricing

6.1 Current Access Model

The Service is currently provided to invited teams. Any applicable pricing terms will be communicated at the time of your invitation or onboarding. By accepting access, you agree to any pricing terms communicated to you.

6.2 Future Subscription Terms

Statsyuk may introduce subscription-based pricing in the future. We will provide advance notice to existing users before any new pricing takes effect. Material changes to pricing will not apply retroactively to pre-paid periods.

6.3 Taxes

You are responsible for any taxes or levies applicable to your use of the Service under the laws of your jurisdiction.

7. Termination

7.1 By You

You may terminate your account at any time by contacting us at noah@statsyuk.ca. We will process your request and delete your personal data in accordance with our Privacy Policy.

7.2 By Statsyuk

Where reasonably practicable, we will provide at least 30 days written notice before terminating your account. However, we may suspend or terminate your access immediately and without prior notice if:

  • You materially breach these Terms
  • We are required to do so by law or court order
  • Continued access poses an active security risk to the Service or other users
  • We reasonably determine that immediate action is necessary to protect our rights or property

If we discontinue the Service entirely, we will provide at least 60 days notice to active account holders.

7.3 Effect of Termination

Upon termination, your right to access the Service ends. Where termination is initiated by Statsyuk for reasons other than a material breach, you will have 30 days from the termination notice to export your team’s Analytics before access is revoked. Where termination follows a material breach or immediate suspension, Statsyuk may in its discretion provide a supervised export window. Your video files are soft-deleted immediately on termination — removed from your view and excluded from analytics — and permanently deleted after a 30-day grace period, which exists so an accidental cancellation can be reversed and a final export completed. Sections 4.5, 4.6, 8, 9, 10, 11, and 12 survive termination.

8. Disclaimers

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

Statsyuk does not warrant that:

  • The Service will be uninterrupted, error-free, or secure
  • Player tracking results, jersey number recognition, or statistical outputs will be accurate or complete
  • The Service will meet your specific requirements

Our computer vision pipeline produces probabilistic, best-effort outputs. Tracking results and player identification should not be used as the sole basis for officiating decisions, player evaluations, or legal proceedings.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL STATSYUK, ITS OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF DATA, LOSS OF PROFITS, OR LOSS OF GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE THE SERVICE.

IN NO EVENT WILL STATSYUK’S TOTAL CUMULATIVE LIABILITY TO YOU FOR ALL CLAIMS EXCEED THE GREATER OF (A) THE TOTAL AMOUNT YOU HAVE PAID TO STATSYUK IN THE TWELVE MONTHS PRECEDING THE CLAIM, OR (B) ONE THOUSAND CANADIAN DOLLARS (CAD $1,000.00).

Exceptions to the above.The exclusions and the cap in this Section do not apply to: (a) Statsyuk’s gross negligence, wilful misconduct, or fraud; (b) death or personal injury caused by Statsyuk’s negligence; (c) either party’s breach of Section 11 (Confidentiality); (d) either party’s indemnification obligations under Section 10; or (e) any liability that cannot be excluded or limited under applicable law.

Some jurisdictions do not allow the exclusion or limitation of certain warranties or liabilities. In those jurisdictions, our liability is limited to the greatest extent permitted by applicable law.

10. Indemnification

By You: You agree to indemnify, defend, and hold harmless Statsyuk and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and costs (including reasonable legal fees) arising out of or related to:

  • Your use of the Service
  • Your violation of these Terms
  • Your violation of any third-party rights, including intellectual property or privacy rights
  • Content you upload to the Service

By Statsyuk:Statsyuk agrees to indemnify, defend, and hold harmless you from any third-party claims arising directly from Statsyuk’s material breach of these Terms, Statsyuk’s gross negligence or wilful misconduct, or Statsyuk’s violation of applicable law, provided that you give Statsyuk prompt written notice of the claim and reasonable cooperation in the defence.

11. Confidentiality

Confidential Informationmeans non-public information one party discloses to the other in connection with the Service, whether or not marked confidential, that a reasonable person would understand to be confidential given its nature and the circumstances of disclosure. Yours includes your rosters, your footage, your tactical and personnel information, and your team’s Analytics. Ours includes non-public features of the Service, our pipeline design and methods, our pricing, and any non-public technical or business information we share with you.

Obligations.Each party will (a) use the other’s Confidential Information only as needed to provide or receive the Service, (b) protect it with at least reasonable care, and (c) not disclose it to anyone other than employees, contractors, and professional advisors who need it and who are bound by confidentiality obligations at least as protective as these. Each party stays responsible for any breach by someone it shared with.

Exceptions.These obligations do not apply to information that is or becomes public through no fault of the receiving party, was already known to the receiving party without a duty of confidence, is rightfully received from a third party without restriction, or is independently developed without use of the other party’s Confidential Information.

Required disclosure. A party may disclose Confidential Information where compelled by law or valid legal process, provided that it gives the other party prompt notice where it is legally permitted to do so, and discloses only what is required.

Duration. These obligations continue for three years after termination, and for as long as the information remains a trade secret in the case of trade secrets.

Personal information is not governed by this section. Personal information is governed by our Privacy Policy and by applicable privacy law. Where this section and the Privacy Policy differ in their treatment of personal information, the Privacy Policy controls. Nothing in this section restricts a player, or a parent acting for a player, from exercising their rights over their own personal information.

12. Governing Law and Dispute Resolution

These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of law principles.

Any dispute that cannot be resolved through good-faith negotiation will be subject to the exclusive jurisdiction of the courts of Ontario, Canada. You consent to personal jurisdiction in those courts.

Mandatory consumer protection laws of your jurisdiction may apply and are not waived by these Terms.

13. General Provisions

Force Majeure: Statsyuk will not be liable for any delay or failure to perform its obligations under these Terms to the extent caused by circumstances beyond its reasonable control, including but not limited to third-party infrastructure outages, natural disasters, government actions, internet service disruptions, or the acts or omissions of cloud service providers. Statsyuk will use reasonable efforts to resume normal service as quickly as practicable and will notify affected users of any material outage.

Entire Agreement and Order of Precedence: These Terms, our Privacy Policy, and any Player Consent signed by a player or by a parent on a player’s behalf together form the entire agreement between you and Statsyuk with respect to the Service. Where they conflict, the following order controls: (1) a player or parental consent, on any question concerning that individual’s personal information; (2) the Privacy Policy, on any other question of how personal information is handled; (3) these Terms. Nothing in these Terms limits, overrides, or survives a consent that has been withdrawn.

Severability: If any provision is found unenforceable, it will be modified to the minimum extent necessary, and the remaining provisions continue in full force.

No Waiver: Our failure to enforce any provision will not constitute a waiver of our right to enforce it in the future.

Assignment: You may not assign these Terms without our prior written consent. Statsyuk may assign these Terms in connection with a merger, acquisition, or sale of assets.

Notices: We will provide notices to the email address on your account. You may provide notices to us at noah@statsyuk.ca.

Language: These Terms are written in English. If translated, the English version controls in the event of any conflict.
